Scope of Coverage The Guidelines adopted under this Circular shall govern the determination of the legal, financial and technical qualifications of RE Applicants, the evaluation of their Applications, and the award of RE Contracts. ### Section 2. Duties and Responsibilities of the REC - 3.1 Examine and evaluate completeness of applications and legal, technical, and financial qualifications of RE Applicants; - 3.2 Resolve any objections raised by RE Applicants on findings, including Motions for Reconsideration, or other issues in the conduct of the OCSP; - 3.3 Recommend to the Secretary the award of a Renewable Energy Service Contract (RESC) in favor of the RE Applicant with the highest rank, or to the sole qualified RE Applicant; - 3.4 Address questions raised by the Secretary in connection with any endorsement to award RESCs; and - 3.5 Other functions as may be delegated by the Secretary. ### Section 4. Lead Unit DOE-REMB shall be the lead unit in the implementation of this Circular. ### Section 5. Separability Clause ### Section 6. Repealing Clause ### Section 7. A copy shall be filed with UP Law Center-ONAR. --- ## GUIDELINES GOVERNING THE 4TH OPEN AND COMPETITIVE SELECTION PROCESS (OCSP4) IN THE AWARD OF RENEWABLE ENERGY (RE) SERVICE CONTRACTS --- ## WHO MAY APPLY ### 1. Eligibility Criteria for RE Applicants In accordance with the exceptions provided under DC2022-11-0034: **1.1** RE Applicant may be a Filipino and/or foreign citizen, or a Filipino- and/or foreign-owned corporation or association authorized to engage in RE exploration, development, and utilization. **1.2** Appropriation of water directly from a natural source (PD 1067; IDEALS v. PSALM G.R. No. 192088, 09 October 2012) is reserved to Filipino citizens or corporations or associations with at least **60%** Filipino capital. **Geothermal exception (GSC):** RE Applicant for a Geothermal Service Contract (GSC) must be Filipino or a corporation with at least 60% Filipino capitalization, registered with SEC. However, foreign-owned corporations may also participate, **Provided** the GSC shall be in the nature of a Financial or Technical Assistance Agreement (FTAA) signed by the President, involving technical or financial assistance for large-scale exploration, development, and utilization of geothermal resources under the Philippine Constitution Art. XII §2. **Large-scale geothermal** = project with an initial investment of at least **US$ 50 Million** (includes capitalization during Pre-Development stage up to drilling of appropriate number of production wells). **Joint ventures/consortiums:** Must organize as a corporation under the Revised Corporation Code of the Philippines, or secure appropriate license from SEC if incorporated outside the Philippines. Joint ventures/consortiums applying for contracts involving activities reserved to Filipinos shall comply with the 60% Filipino capital requirement and the Anti-Dummy Law (CA 108), except for GSC-FTAA applications. --- ## PRE-OCSP ACTIVITIES ### 2. Procedure for the Conduct of the OCSP **2.1 Launch and Publication** — Invitation to prospective RE Applicants shall be published at least once a week for two (2) consecutive weeks in at least two (2) newspapers of general circulation and posted on the DOE website. **2.2 Pre-Submission Conference:** - 2.2.1 Held on date and venue set by REMB; attendance is optional; - 2.2.2 Statements made at the conference shall not modify or amend OCSP terms unless adopted as a Supplemental OCSP Bulletin; and - 2.2.3 Supplemental OCSP Bulletin (if any) posted on DOE website within **7 working days** from the conduct of the Pre-Submission Conference. ### 3. RE Contract Application **3.1** RE Application submission period: Beginning the day immediately following the publication date, until the **last day of submission (60 calendar days from the date of first publication)**. Filing Process 4.1–4.2 RE Applicants shall submit 3 sets of documentary requirements (1 original + 2 photocopies) in 3 sealed envelopes: - **Envelope A:** Legal documents - **Envelope B:** Financial documents (includes Annex D financial commitment summary) - **Envelope C:** Technical documents (includes Work Program Annex E and Track Records Annex F) 4.3 Improperly sealed envelopes: DOE assumes no responsibility for misplacement or premature opening. 4.6 Filing may be personal, by registered mail, or private courier; addressed to: REMB Assistant Secretary, DOE, Energy Center, Rizal Drive, Bonifacio Global City, Taguig City, 1632. 4.8 Applications received after deadline shall not be accepted. 4.9 RMD receives applications only during office hours (0800–1700H). 4.10 Representatives of RMD and REMB shall affix signatures on the envelope/container upon receipt. ### 5. Modification and Withdrawal of Applications 5.1 Modification allowed only once; must be received by REMB on or before the submission deadline. Original Application is automatically disregarded upon timely receipt of the modified Application. 5.2 Withdrawal in writing prior to the submission deadline; Application returned unopened. 5.3 RE Applicant that withdraws is not permitted to submit another Application, directly or indirectly, for the same project. --- ## OCSP PROPER ### 6. Opening, Evaluation, Selection, and Award of RE Applications 6.1 DOE stops receiving Applications at **1200H on the last day** of submission. Opening of Applications begins at **1300H**. 6.2 REC opens Applications in public to determine completeness. Envelopes A, B, and C opened simultaneously; REC determines completeness against the checklist (Annex B). Only complete Applications shall undergo legal, technical, and financial evaluation. 6.3 Incomplete Applications automatically disqualified at opening. No additional documents accepted after the deadline. In case of a tie, the winner shall be decided by a **coin toss** in the presence of both parties. 6.8 RE Application failing to obtain the **minimum point requirement per criterion** shall not qualify even if it is the sole participant for the project/site. 6.9 After complete review and evaluation, REC shall transmit a written endorsement of the selected RE Application to the DOE Secretary. 6.10 DOE Secretary may approve the results of evaluation and preparation for the issuance of the corresponding RE Contract. 6.11 Upon approval by the Secretary, results of OCSP4 shall be posted on the DOE website. ### 7. Failure of OCSP The OCSP shall be declared a **failure** for any or all PDAs when: 7.1 No RE Application was received within the allotted period; 7.2 No RE Application passed the legal requirements; or 7.3 One or more RE Applications passed the legal requirements, but after evaluation of technical and financial proposals, none met either the technical or financial requirements. In any of the foregoing cases, the **PDA shall be opened for Direct Applications**. DOE shall include in the announcement of OCSP results the area(s) that shall be open for Direct Application, indicating when the new application process shall commence. ### 8. Sub-Phase 1 — Geoscientific Studies: Reconnaissance survey; review/evaluation of existing data; detailed surface exploration (geological, geochemical, geophysical surveys); resource assessment study. 3. Sub-Phase 2 — Test Drilling Phase: Drilling works preparation; drilling infrastructure construction; detailed EIS; confirmatory/workover drilling; well testing and bore output measurements; conceptual modelling. 4. Power Plant Operator — currently operating a power plant or partner in a consortium/corporation operating a power plant; or an Affiliate is the operator and the RE Applicant has entered into an agreement with such Affiliate. 2. Holder of a Renewable Energy Contract — currently holds a RE Service Contract in good standing with DOE; or an Affiliate holds a valid RE Service Contract and the RE Applicant has entered into an agreement with such Affiliate. "Affiliate" = person directly or indirectly controlling, or under common control with, or controlled by the RE Applicant. Control = power to direct management and policies of a corporation, partnership, or other association through ownership of majority voting capital stock, interlocking directorate, community of interest, or power to elect majority of the board. For foreign corporations participating through FTAA: submit equivalent documents authenticated by the Philippine Consulate having appropriate jurisdiction. ### F-2 Company Profile Sheet Format Company name, country, date established, company background, list of corporate members, key personnel (in-house or sub-contractor), list of on-going/completed similar projects, list of existing company-owned and leased equipment. ### F-3 Curriculum Vitae Format Standard CV format: proposed position, name, profession, date of birth, years with firm, nationality, professional society memberships, tasks assigned, key qualifications, education, employment record (past 10 years), languages, certification, and commitment statement. Key personnel required per Annex H organizational chart (with CVs per Annex F-3). ### G-2 Technical Evaluation Criteria for Hydropower Projects **Work Program (40 points):** - Hydro Pre-Development Stage: Government clearances and permits acquisition (40 pts); Comprehensive Feasibility Study; Detailed Engineering Design. - Hydro Development Stage: Government clearances (42 pts); Comprehensive Feasibility Study review and re-evaluation; Detailed Engineering Design finalization; Construction, Testing, Commissioning, O&M. **Technical Qualifications (20 points; Large Hydro and Run-of-River):** Technical resources (list of equipment); experience and track record of the company (records of present and past experiences, including parent/predecessor/affiliated company, performance track record in hydropower exploration/development/production, organization/staffing); qualifications of key management and technical personnel (professional background, experiences, resume of technical personnel including consultants). ### G-3 Technical Evaluation Criteria for Wind Energy Projects **Work Program (40 points):** - Wind Pre-Development Stage: Market Study (supply and demand analysis, energy/power supply contract negotiation, tariff rates; wind data analysis; delineation and land rights); Technical Impact Study (system/distribution study); Management Study (EPC and O&M contractor selection strategy; implementation strategy; partner negotiation); Socio-Economic and Environmental Study (public consultations, LGU resolutions, DENR permits, NCIP, CAAP, site use agreements); Financial Study (financial modelling, financial closing); Declaration of Commerciality (10 pts). Minimum working capital (Liquid Assets less Current Liabilities) = **100%** of the financial commitment for the **first contract year** of the proposed Work Program/Plan. 2. Liquid Assets = cash, trade accounts receivables, and short-term investments/placements only. Credit line is **not** a Liquid Asset. 3. Available working capital for OCSP application = net of fund requirements from other applied RE areas and existing energy service/operating contracts commitment for the current year. 4.
