=== dc2022-04-0013-pages-01.ppm === Republic of the Philippines DEPARTMENT OF ENERGY DEPARTMENT CIRCULAR NO. 0C2022 -04- 00/3 ADOPTION OF CERTIFICATION GUIDELINES FOR ENERGY AUDIT CONDUCTED BY FIRM, PARTNERSHIP, CORPORATION, AND SOLE PROPRIETORSHIP (FPCS) WHEREAS, Section 2 of Republic Act No. (RA) 7638 or the “Department of Energy (DOE) Act of 1992” states that it is the policy of the State to ensure a continuous, adequate, and economic supply of energy through, among others, judicious conservation, renewal, and efficient utilization of energy, to keep pace with the country’s growth and economic development: WHEREAS, Section 3 of the RA No. 11285 or the “Energy Efficiency and Conservation Act” (EEC Act) provides for the establishment of a framework for introducing and institutionalizing fundamental policies on energy efficiency and conservation, including the promotion of efficient and judicious utilization of energy, increase in the utilization of energy efficiency and renewable energy technologies, and the delineation of responsibilities among various government agencies and private entities; WHEREAS, Section 5(l) of EEC Act directs the DOE to initiate and maintain collaborative efforts with the business sector, particularly the commercial, industrial, transport, and power sectors, to ensure compliance with the EEC Act and broaden and enhance their efficient and judicious utilization of energy; WHEREAS, Section 54 of Department Circular (DC) No. DC2019-11-0014 or the “Implementing Rules and Regulations of EEC Act” (EEC-IRR) states that the DOE, in consultation with Technical Education and Skills Development Authority (TESDA) and relevant stakeholders shall develop guidelines for the certification of Energy Auditors (EA), which shall include, but not limited to, qualification requirements, review, and evaluation process; WHEREAS, DC No. DC2021-01-0001 or the “Guidelines for the Qualifications, Assessment, Registration, and Certification of Energy Conservation Officers (CECO), Energy Managers (CEM), and Energy Auditors (EA)” prescribes the guidelines on the assessment, registration, and certification of CECO, CEM, and EA covering Designated Establishments under Memorandum Circular No. MC2020-05-0001 (“Directing All Designated Establishments under Commercial, Industrial, and Transport Sectors to Submit Energy Consumption Reports”): WHEREAS, the DOE together with TESDA, Department of Science and Technology - Industrial Technology Development Institute (DOST-ITDI), ENPAP 4.0 Inc., Meralco Power Academy (MPA), Philippine Institute of Energy Management Professionals, Inc. (PIEMPI), and Philippine Energy Efficiency Alliance (PE2) established a Technical Working Group (TWG) for the development of the training regulations (TR) for Energy Audit on 22 July 2021; and WHEREAS, the DOE conducted public consultations attended by various stakeholders on 22 December 2021 and 27 January 2022 to present the draft Department Circular and to consolidate the inputs from stakeholders in Luzon, Visayas, and Mindanao. NOW, THEREFORE, for and in consideration of the foregoing premises and according to its mandate under the EEC Act and EEC-IRR, the DOE hereby orders the following: DC on the Adoption of Certification Guidelines for Energy Audit conducted by Firm, Page 1 of 5 Partnership, Corporation, and Sole Proprietorship (FPCS) | === dc2022-04-0013-pages-02.ppm === Section 1. Title. This DC shall be known as the “Adoption of Certification Guidelines for Energy Audit Conducted by Firm, Partnership, Corporation, and Sole Proprietorship (FPCS).” Section 2. Scope. This DC shall cover the assessment, registration, and certification of qualified FPCS which will conduct energy audit. Section 3. Definition of Terms. The following terms shall be understood to mean: a. “Energy Audit” refers to the evaluation of energy consumption and review of current energy cost to determine appropriate intervention measures and efficiency projects in which energy can be judiciously and efficiently used to achieve savings. b. “Energy Auditor” refers to an individual or entity certified by the DOE who has proven credibility and competence to conduct an energy audit. c. “Firm” refers to a business involved in providing services for a fee, usually professional services. d. “Partnership” refers to two or more persons who bind themselves to contribute money, property, or industry to a common fund, with the intention of dividing profits among themselves. e. “Corporation” refers to an artificial being created by operation of law, having the right of succession and the powers, attributes, and properties expressly authorized by law or incidental to its existence. f. “One Person Corporation (OPC)” refers to a juridical entity with a single stockholder who can only be a natural person, trust, or estate. g. “Joint Venture Agreement (JVA)” refers to an association of persons or companies jointly undertaking some commercial enterprise; generally, all contributes assets and share risks which requires a community of interest in the performance of the subject matter, a right to direct and govern policy in connection therewith and a duty, which may be altered by agreement to share both in profits and losses. h. “Energy Service Company (ESCO)” refers to a juridical entity that offers multi- technology services and goods towards developing and designing energy efficiency projects, delivering and guaranteeing energy savings, and ensuring cost-effective and optimal performance. Their services include energy supply and management, energy financing, technical engineering expertise and consultancy, equipment supply, installation, operation, maintenance, and upgrade, and monitoring and verification of performance and savings. i. “Sole Proprietorship” refers to a business structure owned by a sole individual who has full control/authority of its own and owns all the assets, personally owes and answers to all liabilities and losses. Section 4. Conduct of Energy Audit. Energy Audit shall be conducted by a certified Energy Auditor and shall be carried out to the following: a. Designated Establishments (DEs) during their first year of report submission and every three (3) years. This is in strict compliance with Section 66(g) of the EEC-IRR and the issued DOE Memorandum Circular No. MC2020-05-0001; and DC on the Adoption of Certification Guidelines for Energy Audit conducted by Firm, Page 2 of 5 Partnership, Corporation, and Sole Proprietorship (FPCS) al === dc2022-04-0013-pages-03.ppm === b. Energy Efficiency (EE) Projects to be applied for endorsement for fiscal incentives availment with the DOE. All Energy Audit Reports shall be submitted to both the client establishment and the DOE alongside with the other requirements based on the applicable provisions under MC2020-05- 0001, DC2021-05-0011 (“Guidelines for the Endorsement of Energy Efficiency Projects to the Board of Investments (BOI) for Fiscal Incentives”), and subsequent issuances under the EEC Act and EEC-IRR. FPCS shall provide independent evaluation of the audited facility/entity and projects and communicate their findings and recommendations to DOE. Section 5. Responsibilities of FPCS. The FPCS shall: a. Conduct energy audits to determine ways to optimize the energy performance of the DEs; b. Evaluate the level of implemented energy management systems programs, identify the gaps in the aforementioned systems and programs, and suggest ways to ensure sustainable energy performance improvement for the DEs; c. Provide audit/technical report to CECO and CEM; and d. Such other responsibilities under the EEC Act, EEC-IRR, and this Department Circular. Section 6. Registration Requirements for FPCS. Applicant FPCS shall submit the following documents to the DOE for recognition: a. Duly accomplished FPCS Application Form (Annex A); b. Certified True Copies of the Documents proving Corporate/Legal Personality; b.1 For all types of Firms, Partnerships, and Corporations, the following documents are required: i. SEC registration ii. Business permits iii. | Articles of incorporation iv. Copy of the JVA (individuals) v. | Copy of the SEC registration of the corporate JVA b.2 For Sole Proprietorship, the following documents are required: i. DTI business registration ii. Business permits c. Company Profile/Background (Annex B); d. Company Ownership/Management which includes the list of names of officers and personnel with their position in the company, including energy auditors, and the organizational structure (Annex C); e. Curriculum Vitae of Energy Auditors (list of manpower dedicated for energy audits should be Certified Energy Auditors) (Annex D); DC on the Adoption of Certification Guidelines for Energy Audit conducted by Firm, Page 3 of 5 Partnership, Corporation, and Sole Proprietorship (FPCS) v === dc2022-04-0013-pages-04.ppm === f. Certified True Copy of Professional Regulation Commission (PRC) License of Energy Auditor (if applicable); g. List of Energy Audit equipment and other similar testing instruments including the date of calibration (Annex E); h. Bank Certificate to substantiate the cash balance indicated in the Financial Status; and i. Proof of payment of Ten Thousand Pesos (PHP 10,000.00) for the Application Fee for Certification. All documents shall be submitted based on the submission guidelines of the DOE under Annex F. Application for the Certification shall follow the procedure indicated in Annex G. The Certification shall be valid for three (3) years. After which, recertification of FRCS shall require the submission of the list of Energy Audits undertaken in the last three (3) years (Annex H), audited financial statement in the last two (2) years, and Certificate of Training Completion of Energy Auditors. The recertification fee shall be Ten Thousand Pesos (PHP 10,000.00). Registered or certified ESCOs, will no longer be required to register for certification under this Department Circular, provided that the conduct of energy audit is included in the primary/secondary purpose/s or the main line of business as proven by the corporate/legal documents, and provided further that the registration/certification as an ESCO is still valid. Section 7. Financial Evaluation Criteria of FPCS. For the purpose of Financial Evaluation, FPCS shall comply based on the following criteria: a. Minimum working capital (Liquid Asset less Current Liabilities) is 100% of the financial commitment for the first contract year of the proposed work program and budget; b. Liquid Assets shall consist only of cash, trade accounts receivables and short-term investments/placements. Credit line is not considered as a Liquid Asset; and c. The applicant's available working capital for each energy efficiency project should be net of fund requirements from existing and/or pending applications for service/operating contracts with the DOE. Section 8. Energy Auditor Registry. The DOE-Energy Utilization Management Bureau (DOE-EUMB) shall develop and manage a centralized database that will provide the list of all recognized FPCS. Likewise, only FPCS registered with the DOE will be recommended to DEs as experts for energy audit together with ESCOs and individually certified Energy Auditors. Section 9. Monitoring and Evaluation. The DOE will conduct annual monitoring and evaluation of FPCS to ensure continuous quality of the Certification and Recognition procedure and to ensure that all needs are being addressed. Section 10. Visitorial Powers. The DOE shall be eligible to conduct spot checks and unscheduled visits to FPCS during office hours. The DOE may also opt to conduct audits and evaluation procedures during the visit. Section 11. Transitory Provision. Upon effectivity of this Department Circular, all FPCS will be given one (1) year to apply for recognition to the DOE. Further, failure to comply with the DC on the Adoption of Certification Guidelines for Energy Audit conducted by Firm, Page 4 of 5 Partnership, Corporation, and Sole Proprietorship (FPCS) r === dc2022-04-0013-pages-05.ppm === recognition requirements of the DOE will result in non-recognition by the DOE of a particular FPCS. Section 12. Prohibited Acts and Penalties. The FPCS shall be subjected to the penalties of this Department Circular for violation of the following: a. Willfully failing to submit to an on-site inspection as indicated in the EEC Act, EEC- IRR and this Department Circular; b. Willfully refusing to submit any of the reports required herein; c. Failure to provide accurate information or the provision of false or misleading information as required by this Department Circular; and d. Failure to comply with issued orders of the DOE in the discharge of its enforcement powers. The DOE is empowered to impose fines and penalties for any violation of the prohibited acts enumerated in this Department Circular. The schedule of fines and penalties is attached as Annex | of this Department Circular. After due process, the revocation of the certification may likewise be accompanied by the blacklisting of the FPCS. Section 13. Amendment Clause. The DOE may revise, supplement, and issue related guidelines, circulars, and other subsidiary issuance as it deems necessary for the effective implementation of the various provisions of this Department Circular. Section 14. Repealing Clause. The provisions of other circulars, orders, issuances, rules, and regulations, which are inconsistent with the provisions of this Department Circular are hereby repealed, amended, modified, or superseded accordingly. Section 15. Separability Clause. If for any reason, any section or provision of this Department Circular is declared unconstitutional or invalid, such parts not affected shall remain in full force and effect. Section 16. Effectivity. This Department Circular shall take effect immediately following its publication in at least two (2) newspapers of general circulation.
